Terms of Service

1.Agreement and Acceptance

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LockedinLife regarding the Service. By accessing or using the Service in any way — including by downloading the App, creating an account, purchasing a subscription, or accessing any part of the Site — you represent that you have read, understood, and agreed to be bound by these Terms.

If you are accessing the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, in which case "you" refers to that organization.

2.Who We Are

3.Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

The Service is not intended for children under 13, and we do not knowingly collect personal information from children under 13. If you believe a child under 13 has provided us personal information, contact us at hello@lockedinlife.ai and we will delete it.

You represent and warrant that: (i) you are not located in, under the control of, or a national or resident of a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not on any U.S. Government list of prohibited or restricted parties.

4.Your Account

To use most features of the Service, you must create a LockedinLife account. You agree to:

• Provide accurate, current, and complete information when registering;
• Keep your login credentials confidential and not share them with any other person;
• Promptly notify us at hello@lockedinlife.ai of any unauthorized access to your account;
• Be responsible for all activity that occurs under your account, whether or not authorized by you.

We reserve the right to refuse service, suspend or terminate accounts, or remove content at our discretion, consistent with these Terms and applicable law.

5.The Service and Your License

Subject to your compliance with these Terms, LockedinLife grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on an Apple-branded device that you own or control, and to access the Site, solely for your personal, non-commercial use.

The Service includes a modular personal-tracking platform composed of a core shell, pluggable life-domain modules ("Kits"), cross-Kit automations ("Rules," publicly marketed as "Links"), preconfigured Kit bundles ("Stacks"), and an AI-powered assistant ("Companion") that may read Kit data, maintain memory across sessions, and take actions on your behalf when you approve them.

You may not:

• Sell, lease, rent, redistribute, or sublicense the Service;
• Copy, modify, adapt, translate, or create derivative works of the Service;
• Reverse-engineer, decompile, or disassemble the Service, or attempt to derive its source code, except and only to the extent this restriction is expressly prohibited by applicable law;
• Use the Service to build a competing product or service;
• Use the Service to transmit malware, unsolicited bulk communications, or unlawful content;
• Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
• Access the Service through automated means (scrapers, bots) without our prior written consent;
• Remove or alter any copyright, trademark, or other proprietary notice;
• Circumvent, disable, or interfere with license limitations, metering, or usage-tracking features.

6.Subscriptions, Payments & Billing

6.1Subscription Plans

As of the Effective Date, LockedinLife offers the following plans, each with the feature sets described at lockedinlife.ai/#pricing:

Plan features, prices, and availability may change. The then-current prices are shown in the App at the time of purchase and on the Site at lockedinlife.ai/#pricing.

6.2Auto-Renewing Subscriptions

Paid subscriptions (Pro, Plus, Creator) are sold through the Apple App Store on an auto-renewing basis. By purchasing a subscription, you acknowledge and agree that:

• Payment will be charged to your Apple ID account at confirmation of purchase.
• Your subscription will automatically renew for the same billing period at the then-current price unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the cost of the selected plan.
• You can manage your subscription and turn off auto-renewal by going to your Apple ID Account Settings on your device after purchase.

6.3Managing and Cancelling Your Subscription

You may manage, upgrade, downgrade, or cancel your subscription at any time through your Apple ID Account Settings. Instructions are available at support.apple.com/HT202039.

Cancellation takes effect at the end of your then-current billing period. You retain access to paid features until that date and, except as required by applicable law or Apple's refund policy, you will not receive a refund for the current period.

6.4Free Trials

LockedinLife may offer a free trial period for Pro, Plus, or Creator (typically seven (7) days, as shown at the time of offer). If you do not cancel before the trial ends, your subscription will automatically begin and your Apple ID account will be charged for the first billing period at the then-current price.

Any unused portion of a free trial period will be forfeited when you purchase a subscription, where applicable.

Free trials are generally available to new users only. We reserve the right to determine eligibility, modify, or discontinue free trials at any time.

6.5Founding Member Lifetime

"Founding Member" is a one-time, non-subscription purchase for a flat fee of $299 (or the then-current price). Founding Member purchases grant access to the Plus tier for the commercial lifetime of the Service, subject to these Terms. Founding Member access:

• Is available only to the first 500 purchasers (or such other cap as we announce);
• Is personal, non-transferable, and tied to your LockedinLife account;
• Covers features included in the Plus tier, including those released during the commercial life of the App;
• May be suspended or terminated for violation of these Terms;
• Does not obligate LockedinLife to continue offering the Service for any particular period — see Section 15.

Founding Member purchases include a 14-day unconditional refund window from the date of purchase. After the 14-day window, Founding Member purchases are non-refundable, except as required by Apple's refund policy or applicable consumer-protection law.

6.6Refunds

All subscription sales are final and non-refundable, except as required by Apple's refund policy or by applicable law. Refund requests for purchases made through the App Store must be submitted to Apple at reportaproblem.apple.com. We do not process refunds directly for App Store purchases.

6.7Price Changes

We may change subscription prices from time to time. For existing subscribers, we will provide notice (through the App, by email, or through the App Store) at least 30 days before the change takes effect, or such longer period as required by applicable law. If you do not agree to the new price, you may cancel your subscription before it takes effect; continued use after the effective date constitutes acceptance of the new price.

6.8Taxes

Prices shown may not include applicable taxes. You are responsible for any sales, use, value-added, or similar taxes, which may be collected by Apple or by us, as applicable.

7.Your Content and Data

Your data belongs to you. The logs, notes, Kit entries, ratings, conversations with the Companion, and other content you create or submit through the Service ("Your Content") are your property, and we do not claim ownership of them.

You grant LockedinLife a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, modify (for formatting and synchronization purposes), and display Your Content solely as necessary to (i) operate and provide the Service to you, (ii) sync your data across your authorized devices, (iii) back up your data, (iv) enable the Companion to operate on your behalf, and (v) comply with applicable law. This license ends when you delete Your Content or your account, except that we may retain minimal backup copies for a limited period as described in our Privacy Policy.

You represent and warrant that you have all rights necessary to grant this license for Your Content and that Your Content does not violate these Terms or any applicable law.

You can export your data at any time. Subscribers on Pro and higher tiers have access to a one-tap export feature in the App. Free-tier users may request an export by contacting hello@lockedinlife.ai. You can delete your data or your entire account at any time from within the App, subject to legal retention obligations.

8.Privacy

Our Privacy Policy explains what data we collect, how we use it, how we share it, and the choices and rights you have. By using the Service, you acknowledge you have read and understood the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

9.The AI Companion

The Companion is an AI-powered feature that, depending on your subscription tier and permissions, may: (i) read data from Kits you have enabled; (ii) maintain memory of preferences and facts you share or that it infers from your activity; (iii) propose or perform actions on your behalf; (iv) generate summaries, suggestions, and conversational replies; and (v) generate new Kit specifications ("Kit Studio").

By using the Companion, you acknowledge and agree that:

• AI output can be wrong. Language-model outputs can be inaccurate, incomplete, inconsistent, biased, or misleading. You are solely responsible for reviewing and verifying any action the Companion proposes before approving it, and for reviewing any generated content before relying on it.
• Actions require approval. The Companion will not take external actions (adding calendar events, modifying data beyond logging, drafting communications, or calling third-party Tools) without your explicit approval for that action, except where you have granted specific per-Kit auto-logging permissions through the App's settings.
• Not professional advice. The Companion does not provide medical, mental-health, legal, financial, tax, or other professional advice. Do not rely on the Companion for diagnosis, treatment, legal counsel, investment decisions, or similar purposes.
• Third-party AI providers. To operate, the Companion may transmit your prompts, Kit data, and memory records to third-party AI providers (including, for example, Apple Intelligence, Anthropic, and/or OpenAI), subject to the safeguards and provider terms described in the Privacy Policy. Your data is not used to train third-party models where we have contracted to prevent this.
• Memory is visible and editable. You can view, edit, promote, demote, or delete the Companion's memory about you at any time through the "What I know about you" screen.
• Proactivity limits. The Companion is subject to a daily proactivity budget that you control. It will not send unlimited proactive messages, and you can reduce its proactivity or mute specific patterns at any time.

10.Health & Medical Disclaimer

Certain Kits (including but not limited to Supplements, Invisalign, Weight, Sleep, Mood, Nutrition, Workouts, and Hydration) allow you to log information related to your health, wellness, or fitness. These Kits are for personal self-tracking only. They are not cleared or approved by the U.S. Food and Drug Administration or any other regulatory body, and must not be used for clinical decision-making.

Always consult a qualified healthcare professional before making changes to your medications, supplements, exercise program, diet, orthodontic plan, or any treatment regimen. In an emergency, contact your local emergency services immediately or go to the nearest emergency room.

If you use Apple HealthKit, Apple Health, or any other external health data source with the Service, you remain solely responsible for the accuracy of the data you input, import, or export. LockedinLife does not independently verify that data, and will not use Apple HealthKit data for advertising, marketing, or other use-based data mining purposes unrelated to providing you health and fitness features of the Service, in accordance with Apple's HealthKit guidelines.

11.Third-Party Services

The Service integrates with, links to, or depends on third-party products, platforms, and services, including (without limitation): the Apple App Store, Apple ID, iCloud, Apple HealthKit, Apple Intelligence, Siri Shortcuts, Apple Calendar; Google Calendar; Microsoft Outlook Calendar; third-party AI providers such as Anthropic and OpenAI; infrastructure providers such as Supabase; and analytics providers as described in our Privacy Policy (collectively, "Third-Party Services").

Third-Party Services are governed by their own terms and privacy policies. LockedinLife is not responsible for Third-Party Services, their availability, or their acts or omissions. Your use of Third-Party Services is at your own risk and subject to the third party's terms.

12.Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, harmful, or infringing purpose;
• Impersonate any person or entity or misrepresent your affiliation;
• Interfere with or disrupt the integrity, performance, or security of the Service;
• Attempt to gain unauthorized access to any portion of the Service or any system or network connected to the Service;
• Use the Service to transmit viruses, worms, or other malicious code;
• Harvest or collect information about other users without consent;
• Use the Companion or Kit Studio to generate content designed to harm another person, facilitate violence, sexualize minors, generate non-consensual intimate imagery, violate export controls, commit fraud, or otherwise violate applicable law;
• Publish or distribute user-generated Kits that violate these Terms, the rights of others, or the rules of the LockedinLife marketplace (as set out in the separate Creator Agreement).

13.Intellectual Property

"LockedinLife," the LockedinLife name and logo, the App, the Site, the design, graphics, software, default content, and all associated trademarks, service marks, and logos are owned by [Legal Entity Name] or our licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you except for the limited license expressly granted in Section 5.

User-generated Kits created by you via Kit Studio are Your Content and remain your property. If you publish a user-generated Kit to the public LockedinLife marketplace under the Creator tier, you do so under a separate Creator Agreement that governs distribution, revenue share, and removal rights.

DMCA. If you believe content on the Service infringes your copyright, please send a DMCA-compliant notice to our designated agent at dmca@lockedinlife.ai, including the information required under 17 U.S.C. § 512(c)(3).

14.Feedback

If you provide suggestions, feedback, bug reports, feature requests, or similar ideas ("Feedback"), you grant LockedinLife an unrestricted, perpetual, irrevocable, transferable, sublicensable, royalty-free, worldwide license to use, exploit, and incorporate the Feedback into the Service or any other product or service, without obligation or compensation to you.

15.Termination

By you. You may stop using the Service at any time. You may cancel a paid subscription through your Apple ID settings as described in Section 6.3. You may delete your account at any time from within the App.

By us. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, you present a legal or safety risk to us or other users, or we are required to do so by law. We may also discontinue the Service (or any part of it) in whole or in part at our sole discretion; where reasonably practicable, we will provide advance notice of material discontinuations.

Effect. On termination: your license to use the Service ends; your access to paid features ends; and the provisions of these Terms that by their nature should survive termination (including Sections 7, 13, 14, 16, 17, 18, 20, and 22) will survive.

16.Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCKEDINLIFE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT ANY CONTENT, INCLUDING AI-GENERATED OUTPUT, IS ACCURATE, RELIABLE, OR COMPLETE.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent such jurisdictions apply, some of the above exclusions may not apply to you, and you may have additional rights.

17.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LOCKEDINLIFE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF LOCKEDINLIFE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US (OR PAID APPLE FOR THE APP) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you in full.

18.Indemnification

You agree to defend, indemnify, and hold harmless LockedinLife, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) Your Content or any content you submit; (d) your violation of any third-party right, including any intellectual property, privacy, or publicity right; or (e) any action taken by the Companion on your behalf with your approval.

19.App Store (Apple) Terms

The following additional terms apply if you obtained the App through the Apple App Store. In the event of any conflict between these Apple-specific terms and the rest of the Terms, these Apple-specific terms control with respect to App Store users.

19.1Acknowledgement

You and LockedinLife acknowledge that these Terms are concluded between you and LockedinLife only, and not with Apple Inc. ("Apple"). LockedinLife, not Apple, is solely responsible for the App and its content. These Terms do not provide for usage rules that conflict with the Apple Media Services Terms and Conditions as of the Effective Date.

19.2Scope of License

The license granted to you for the App is a limited, non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

19.3Maintenance and Support

LockedinLife is solely responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. You and LockedinLife acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

19.4Warranty

LockedinLife is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be LockedinLife's sole responsibility.

19.5Product Claims

You and LockedinLife acknowledge that LockedinLife, and not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the App's use of the HealthKit and HomeKit frameworks.

19.6Intellectual Property Rights

You and LockedinLife acknowledge that, in the event of any third-party claim that the App or your possession and use of that App infringes that third party's intellectual property rights, LockedinLife, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

19.7Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

19.9Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the App (for example, your wireless data service agreement).

19.10Third-Party Beneficiary

You and LockedinLife acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

20.Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of [State, e.g., California], United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20.1Informal Resolution

Before filing any formal claim, you agree to first contact LockedinLife at hello@lockedinlife.ai with a written description of the dispute and attempt in good faith to resolve it informally for a period of at least thirty (30) days.

20.2Binding Arbitration

If a dispute is not resolved through informal resolution, you and LockedinLife agree that any controversy or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS (or another mutually-agreed arbitration provider) under its Streamlined Arbitration Rules then in effect. The arbitration will be conducted in [City, State] (or, at your election if you are a U.S. consumer, in the county of your residence), in English, before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

20.3Class-Action Waiver

YOU AND LOCKEDINLIFE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and LockedinLife agree otherwise in writing, the arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding.

20.4Exceptions

Notwithstanding the foregoing, either party may (i) bring an individual action in small-claims court for qualifying disputes, and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights.

20.5EU, UK, and Mandatory Consumer Rights

If you reside in the European Union, the United Kingdom, Brazil, or another jurisdiction that grants consumers mandatory rights that cannot be waived by contract, nothing in this Section 20 overrides those rights. Consumers in those jurisdictions may bring claims in the courts of their habitual residence, and the mandatory consumer-protection law of their jurisdiction applies to the extent required.

20.6Opt-Out

You may opt out of the arbitration and class-action waiver provisions in Sections 20.2 and 20.3 by sending written notice to hello@lockedinlife.ai within thirty (30) days of first accepting these Terms, stating that you opt out. Opting out will not affect any other provision of these Terms.

21.Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, our business practices, or applicable law. When we make material changes, we will provide notice through the App, via email to the address associated with your account, or by updating the "Last updated" date at the top of this page. Where required by applicable law, we will provide advance notice of at least 30 days.

Continued use of the Service after the effective date of a revision constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel any subscription before the effective date.

22.Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any additional agreements referenced in these Terms (including the Creator Agreement, if applicable), constitute the entire agreement between you and LockedinLife regarding the Service, and supersede all prior or contemporaneous agreements on the subject matter.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

No Waiver. Our failure or delay in enforcing any provision of these Terms is not a waiver of our right to enforce that or any other provision at any time thereafter.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent; any attempted assignment without such consent is void. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.

Force Majeure. Neither party will be liable for any failure or delay in performance caused by events outside its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government action, power failures, internet or telecommunications failures, or third-party service outages.

Language. These Terms are drafted in English. Any translation we provide is for convenience only; in the event of any conflict, the English version controls.

No Agency. Nothing in these Terms creates any agency, partnership, employment, fiduciary, or joint-venture relationship between you and LockedinLife.

Notices. We may give notice to you via email, through the App, or by posting on the Site. Notices to us must be sent to hello@lockedinlife.ai and, for legal service, to [Legal Entity Name, Company Mailing Address].

Headings. Headings are for convenience only and do not affect the interpretation of these Terms.

Export. The Service may be subject to U.S. and other export-control laws. You agree to comply with all applicable export and re-export restrictions.

U.S. Government End Users. If you are a U.S. federal-government end user, the Service is a "commercial item" as that term is defined in 48 C.F.R. § 2.101, consisting of "commercial computer software" and "commercial computer software documentation," and is licensed with only those rights granted to all other end users under these Terms.
